Terms of Service

These terms govern any work I do for you. They are written in plain language on purpose — if anything here is unclear, ask me before we start and I'll clarify in writing.

01Services
I provide cloud engineering, DevOps, automation, product creation, mobile development and web development services. The specific scope for your project is whatever we agree in writing — a proposal, a brief, or an email thread we both accept.
02Proposals and acceptance
- A proposal states the scope, deliverables, timeline and price.
- Work begins once you accept the proposal in writing and any agreed deposit has cleared.
- Proposals are valid for 14 days unless stated otherwise.
03Your responsibilities
- Give me the access, accounts, content and decisions needed to do the work.
- Nominate one person who can approve work and answer questions.
- Make sure anything you hand me (assets, data, credentials) is yours to use.
If required inputs or approvals are delayed, timelines move by at least the length of the delay.
04Fees and payment
- Fees are stated per project or per milestone, in the currency shown on the proposal (NGN or USD).
- Unless agreed otherwise: 50% deposit before starting, the balance on delivery.
- Invoices are due within 7 days. Long-running or retainer work is billed at the intervals we agree.
- Third-party costs (domains, hosting, cloud usage, paid APIs, app store fees) are billed at cost or paid directly by you, and are not included in my fees.
05Revisions and changes
Each milestone includes reasonable revisions to match the agreed scope. New requirements that change the scope, timeline or architecture count as a change request: I'll price it, you approve it, and the schedule adjusts accordingly.
06Intellectual property
- Once you have paid in full, you own the deliverables I produced for you specifically.
- I keep ownership of my pre-existing tools, templates, scripts and know-how, and may reuse them on other work.
- Unless you ask me not to, I may reference the project by name and describe it in general terms in my portfolio.
07Confidentiality
I keep your non-public information confidential and use it only to do the work. This survives the end of our engagement. Credentials you share stay in your accounts wherever possible; where I hold any, I store them securely and remove access when the work ends.
08Third-party services
Projects often rely on providers I don't control — AWS, Azure, GitHub, exchanges, payment gateways and the like. Their terms, pricing changes, outages and policy decisions are outside my control. I'll flag risks I see, but I'm not liable for a third party's actions.
09Warranties and liability
- I deliver work with reasonable skill and care, and I'll fix defects in what I delivered, free of charge, if you report them within 14 days of delivery.
- Beyond that, work is provided "as is" — I don't warrant that any system will be uninterrupted, error-free, or fit for a purpose we didn't agree.
- My total liability for any claim is limited to the fees you paid me for the work in question.
- I'm not liable for indirect or consequential losses, including lost profit, lost data or business interruption.
- Nothing here excludes liability that cannot be excluded by law.
10Suspension and termination
- Either of us may end an engagement in writing with 7 days' notice.
- You pay for work completed and commitments already made up to that point.
- I may pause work if invoices are materially overdue, or if I'm asked to do something unlawful or unsafe.
11Governing law
These terms are governed by the laws of the Federal Republic of Nigeria. We'll try to resolve any dispute by talking first; if that fails, the courts of Nigeria have jurisdiction.
12Changes to these terms
I may update these terms for future work. The version in force when you accepted a proposal governs that project. The date at the top shows when this page last changed.
